- Seller Information
These Plugin Terms of Sale and Use (the “Terms”) are entered into between UAB Vextur, company code 304824627, VAT number LT100012152119, registered office Mokslininkų g. 2A, LT-08412 Vilnius, Lithuania, e-mail info@vextur.com (“Vextur”), and the customer purchasing or using a Vextur Product (the “Customer”). By purchasing, downloading, installing or using a Product, the Customer accepts these Terms.
- Products
Vextur develops and sells Moodle plugins, integrations and related digital products (the “Products”). All Products are delivered electronically and require a compatible Moodle installation. Product features, supported Moodle versions and pricing are shown on the applicable Product page.
- Consumer Customers
Where the Customer is a consumer within the meaning of Directive 2011/83/EU, a 14-day right of withdrawal applies. The right is lost if the Customer expressly consents to immediate delivery of the digital Product and acknowledges the loss of the withdrawal right at checkout. Vextur will record such consent. Consumers may also refer disputes to the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/.
- Product Licensing
Vextur retains copyright ownership of the Products. Because Products are derivative works of Moodle (GPL v3), the plugin source code and all components derived from or integrated with Moodle are licensed to the Customer under GPL v3. Under GPL v3, the Customer has the right to access the source code, modify it and redistribute it in accordance with the GPL v3 terms. The Vextur name, logos, documentation, marketing materials and other non-GPL assets are not licensed under GPL v3 and remain the exclusive intellectual property of Vextur. Nothing in these Terms restricts rights granted under GPL v3.
- Licence Scope
Unless otherwise stated, each licence entitles the Customer to install and operate the Product on one (1) Moodle production installation. The same licence also covers sandbox, staging and development environments operated by the same legal entity, for testing and development purposes, at no additional charge.
- Distribution Channels
Where a Product is distributed via the Moodle Marketplace, the Marketplace terms shall govern the payment, download and dispute-handling mechanism operated by Moodle. In all other respects (licence scope, warranty, support, Vextur obligations), these Terms shall prevail. Products may also be distributed directly through vextur.com, in which case only these Terms apply.
- Pricing and Payment
Full payment must be received before access to a Product is granted. Prices may change at any time, but changes do not affect completed purchases.
Prices are exclusive of VAT unless stated. VAT applies as follows: (i) Lithuanian standard rate for Customers established in Lithuania; (ii) 0% reverse-charge for VAT-registered business Customers established in another EU Member State (subject to a valid VIES number); (iii) Lithuanian standard rate (or OSS rate) for consumer Customers in another EU Member State; (iv) 0% for Customers established outside the European Union. The Customer bears any local withholding tax or import duty applicable in the Customer’s jurisdiction.
- Term and Subscription
Each licence is sold as an annual subscription with an initial term of twelve (12) months. The annual fee entitles the Customer to (i) use of the Product per Licence Scope, (ii) all updates released during the term, and (iii) technical support. The subscription renews annually unless cancelled. On non-renewal: (a) the Customer retains a perpetual right under GPL v3 to use the last downloaded version, (b) further updates and support cease, (c) Vextur cannot guarantee compatibility with future Moodle versions. To restore updates and support, a renewal subscription must be purchased at Vextur’s then-current price.
- Digital Delivery
Products are supplied electronically following successful payment. Customers are responsible for downloading Products, maintaining backups and ensuring compatibility with their Moodle environment.
- Updates
Updates may include bug fixes, security patches, compatibility improvements, performance enhancements and new features. Update schedules are not guaranteed. Support for older Moodle versions may be discontinued in accordance with Section 12.
- Technical Support
Response times (Vextur business hours):
- Critical requests: 1 business day.
- Standard requests: 3 business days.
Support channels: e-mail (support@vextur.lt) and Vextur support portal.
Included in the subscription:
- bug investigation and remediation;
- defect confirmation;
- security-related patches.
Available for an additional fee (subject to separate agreement):
- configuration guidance;
- plugin-usage advice beyond bug remediation;
- integration consulting.
Not included in the support scope:
- custom development or Product implementation services;
- Moodle administration or hosting;
- third-party plugin conflicts;
- support for modified copies of the Product;
- support for the Product on Moodle versions outside compatibility.
- Compatibility
Vextur specifies compatible Moodle versions on each Product page. It is the Customer’s sole responsibility to (i) match the Moodle version before installation; (ii) verify compatibility with other plugins, themes and integrations; (iii) test in a staging environment before production deployment; (iv) maintain full backups. Vextur bears no responsibility for the manner of installation, configuration, deployment or use, nor for installations on Moodle versions or configurations outside the compatibility statement.
- Refund Policy
Because Products are digital goods delivered electronically, refunds are generally unavailable after delivery. Refunds may be granted for a reproducible material defect that cannot be reasonably resolved, or where required by applicable law (including consumer protection law).
- Customer Responsibilities
Customers are responsible for maintaining backups, testing Products before deployment, maintaining secure and supported Moodle installations, applying security updates within a reasonable period, and complying with applicable laws.
- Data Protection
Vextur processes personal data of Customer representatives in accordance with the Vextur Privacy Policy, available at https://vextur.com/privacy-policy. Where the Product processes personal data of Customer end-users on the Customer’s Moodle installation, the Customer acts as data controller under GDPR. Vextur has no access to such data. Where Vextur processes personal data on the Customer’s behalf, the Parties will execute a separate Data Processing Agreement (Article 28 GDPR) beforehand.
- Third-Party Components
Products may include third-party open-source components governed by separate licences. A list of components and applicable licences is provided in the CREDITS / LICENSES file bundled with each Product. The Customer must comply with those licences. Vextur is not liable for the Customer’s breach of a third-party licence.
- Intellectual Property
Subject to the GPL v3 licence granted in Section 4, all intellectual property rights in the Products remain with Vextur. No trademark rights are granted to the Customer through the purchase or use of a Product.
- Termination
Vextur may terminate the subscription by written notice if: (a) the Customer materially breaches these Terms and fails to remedy within thirty (30) days of written notice; or (b) the Customer fails to pay the renewal fee within thirty (30) days of the due date. On termination: (i) access to further updates and support ceases; (ii) the Customer retains a perpetual GPL v3 right to use the last downloaded version at the Customer’s own risk; (iii) Vextur has no access to the Customer’s Moodle data and no data-return or data-deletion obligation arises on Vextur’s side.
- Disclaimer of Warranty
Products are provided AS IS and AS AVAILABLE. To the maximum extent permitted by law, Vextur disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, security, reliability, compatibility and error-free operation.
- Limitation of Liability
To the maximum extent permitted by law, Vextur shall not be liable for indirect, incidental or consequential damages. Total aggregate liability under these Terms shall not exceed the amount paid by the Customer for the relevant Product during the twelve (12) months immediately preceding the event giving rise to the claim.
- Governing Law
These Terms are governed by the laws of the Republic of Lithuania. Any dispute is subject to the exclusive jurisdiction of the courts of the Republic of Lithuania having competence over the Vilnius region. EU consumers may additionally use the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr/.
- Changes to Terms
Non-material changes (clarifications, corrections, changes required by law) take effect upon publication. Material changes affecting existing Customers’ rights or obligations will be notified by e-mail at least thirty (30) days before they take effect. If the Customer does not accept a material change, the Customer may terminate the subscription with effect from the date the change would take effect and receive a pro rata refund of any prepaid, unused portion of the subscription fee.
- Security
Potential security vulnerabilities affecting a Product should be reported privately to security@vextur.com. The subject should clearly identify the report as a security issue. Customers shall not publicly disclose an unpatched vulnerability before Vextur has had a reasonable opportunity to investigate and address it. Vextur will prioritise verified vulnerabilities affecting currently supported Product versions and provide fixes or mitigations. The Customer shall apply security updates within a reasonable period.
- Miscellaneous
- Force Majeure — neither party is liable for delays caused by events beyond reasonable control.
- Severability — an invalid provision does not affect the remaining provisions.
- Entire Agreement — the Terms + Product page + Order confirmation constitute the full agreement between the Parties.
- Assignment — the Customer may not assign the licence without Vextur’s prior written consent; Vextur may assign to a group entity or successor by acquisition.
